4.1.3 Receive information about the Company’s ongoing activities, request the examination of the Company’s
documents, including financial, accounting and/or annual balance;
4.1.4 Withdraw, receive and check information about Company’s bank accounts, reports and documents;
4.1.5 Participate in profit distribution and/or receive dividends;
4.1.6 Requst special inspection of the documentation on annual balance of the Company and its activities
personally and/or through an invited special expert and/or an independent audit;
4.1.7 Request Extraordinary Meeting of the Partners;
4.1.8 File a legal claim against the Company’s Director(s) and/or any third party, if the Company fails to exercise
its claims against such parties and refuses the Partner in writing;
4.1.9 Exercise their right to first refusal;
4.1.10 Withdraw from the Company and claim return of their contributions.
4.2	The Partner is not authorized to pledge and/or trust or otherwise encumber its equity share or part of its equity share
and/or tangible and/or intangible assets of the Company and/or individually in the name of the Company undertake
obligations before any third parties without prior written consent of the Partners’ Meeting.
Clause 5.	Company Management
5.1	The superior governing body of the Company is the Partners’ Meeting.
5.2	Activities of Company are carried out and managed by the Company’s Directors appointed by the Partners’
Meeting.
Clause 6.	Partners’ Meeting and Extraordinary Meeting of the Partners
6.1	The Partners’ Meeting is invited according to the following rules and procedures:
6.	1.1 The Partners’ Meeting is convened once in every six (6) months. The partners are notified by the Director in
writing about time, place and agenda of the Partners’ Meeting fourteen (14) business days prior to the
Meeting;
6.	1.2 Extraordinary Meeting of the Partners is called by any Partner and/or the Director based on written
notification to all other Partners ten (10) days prior to the date of such Meeting. The notification should be
sent through mail, electronic mail, fax and/or by such means of communication that enables verification of
the receipt by the addressee(s);
6.	1.3 The Director shall immediately call the Partners’ Extraordinary Meeting if annual balance or interim balance
shows that the Company might lose half of its capital and/or become insolvent;
6.	1.4 The notification should include the identity of the person calling the Meeting, agenda of the Meeting, the
place, date and exact time of the Meeting;
6.	1.5 Within three (3) calendar days from the receipt of the notification, the Partner is entitled to request alteration
to the agenda of the Meeting by sending the letter of notice to the Director and other Partners;
6.	1.6 The rules of the Partners’ Meeting are applicable to the Extraordinary Meeting of the Partners;
6.	1.7 Calling the Partners’ Meeting is not mandatory when all the Partners decide upon a specific matter in
writing. Such written consent shall equal to minutes of the Meeting and shall form decision of the Partners’
Meeting;
6.	1.8 The Partners’ Meeting shall be duly constituted if the Partners holding 100% of voting shares are present
(quorum). If the Meeting is not duly constituted, the person calling the Meeting shall in the same manner
and with the same agenda re-call the Meeting. The second Meeting shall be duly constituted if the Partners

holding 51% of voting shares are present. If the Meeting is still not duly constituted, the person calling the
Meeting shall in the same manner and with the same agenda re-call the third Meeting, which shall be duly
constituted irrespective of the number of partners with voting shares present.
6.	1.9 The Partners’ Meeting discusses and with absolute majority (100%) of votes decides upon the following
matters of its competence:
a.	Approval/change of the charter of the Company;
b.	Formation/increase/decrease of the capital of the Company;
c.	Reorganisation/liquidation of the Company;
d.	Establishment/reorganisation/liquidation of branches of the Company;
e.	Establishment/reorganisation/liquidation of other enterprises;
f.	Purchase/sale/encumberance of shares of other enterprises;
g.	Purchase of the immovable property by the Company;
h.	Sale, otherwise transfer, pledge, encumbrance or set of any other limit, possesion, rent, lease and/or
otherwise transfer for temporary use and/or transfer for administration of the immovable property of the
Company;
i.	Encumbrance of the Partners’ shares.
j.	Securing Company’s obligations with the Company’s and/or third party’s property, any kind of
encumbrance of the assets, execution of any agreement with third parties. For the purposes of the present
Charter, the “encumbrance” shall mean all property rights, including and not limited to:
pledge/mortgage, servitude, usufruct, right to build;
k.	Distribution of the Company dividends.
1.	Appointment/dismissal of the Company Director(s);
m.	Approval of the work contract of the Director(s);
n.	Appointment/dismissal of the auditor of the Company;
o.	Issuing general trade power of attorney (Prokura) by the name of the Company;
p.	Approval of the books of account;
q.	Approval/change of the budget and ongoing operational expenses of the Company;
r.	Undertake obligations, which severally or wholly exceed 50 per cent of the value of the company assets.
6.2	Minutes of the Partners’ Meeting shall be prepared in writing and signed by all Partners present at the Meeting,
subsequently being sent to all absent Partners.
6.3	Any decision should be adopted as prescribed under the present article, the Partners’ agreement and Georgian
legislation. Decisions adopted with the violation of the present article have no legal effect and shall not be used for
any purposes.
6.4	In case the decision is adopted in violation of the present clause and/or the Partners’ agreement (if any), any party is
entitled to request the invalidation of such decision and compensation of damage suffered due to such violation
according to the Georgian legislation and the Charter.
Clause 7.	Management and Representation
7.1	Company management and representation is undertaken by two Directors (the “Directors”) appointed and
dismissed pursuant this Charter. The Directors are appointed for the indefinite term and operate based on the
service agreement executed with the Partners of the Company, unless other form of agreement is adopted by the

Partners Meeting. Reprsentation of the Company may be undertaken by any director acting independently. The
Directors are entitled to:
7.1.1 Call for the Partners’ Meeting and Extraordinary Meeting of the Partners;
7.1.2 Represent the Company before third parties;
7.1.3 Supervise the activities of the Company;
7.1.4 Act freely within the budget limits established by the Partners. In any other cases, prior written consent of
the Partners is mandatory.
7.2	The Directors shall fulfill management and representation of the Company in good faith according to the Georgian
legislation and present charter. Therefore, the Director(s) shall only act in the best interests of the Company.
7.3	The Directors are not entitled to:
7.3.1 Use for personal gain their position and/or information about the Company acquired during the course of
executing their duties on a position of the Director;
7.3.2 Execute any agreement with themselves in the name of the Company without prior written consent of the
Partners;
7.3.3 Conclude any agreement connected to the activity of the Company with the term exceeding five (5) years
without prior written consent of the Partners;
7.3.4 Take decisions about matters falling beyond the activities of the Company;
7.3.5 Conclude any agreement about the matters beyond usual activities of the Company.
7.4	The Directors shall keep the following documents for the term of three (3) years:
7.4.1 Accounting books and documentation, inventory list, balance sheet, working instructions and other
organizational documents necessary for their understanding;
7.4.2 Incoming/outgoing business correspondence.
7.5	During the first three (3) months of every economic year, the Directors shall list and as a final written report deliver
to the Partners annual balance of the preceding economic year, annual profit and loss report and an activity report.
7.6	The Directors present the following information to the Partners’ Meeting:
7.6.1 Ongoing activities of the Company (on a quarterly basis);
7.6.2 Operational policy of the Company;
7.6.3 Information regarding financial policy of the Company;
7.7	The Directors shall deliver to any Partner the report of the Company’s financial situation and fulfillment of
obligations undertaken before third parties within five (5) business days after receipt of such request from the
Partner(s).
7.8	The Directors are responsible for exact fulfillment of the budget and ongoing operational expenses of the Company
established by the Partners’ Meeting. In case of expending money and/or undertaking obligations by violating the
budget and ongoing operational expenses of the Company, the Directors, in breach of the stated obligation, shall
compensate and/or indemnify such expenses and/or any damages and/or any due amount resulting from claims of
third parties deriving out of or in connection with the violation of the Director(s) in full.
7.9	In case the Director(s) also being the Partner(s), inflicts any damage to the Company by their intentional, culpable
and/or negligent action, such Director(s) shall not participate and therefore vote upon matters of such damage and
responsibility of the Director(s). Furthermore, the first Meeting quorum shall be met and the Meeting shall be
deemed to be duly constituted and in line with the requirements of Clause 6 of this Charter, if attended by Partner(s)
not necessarily forming 100% of the company votes (due to the absence of the Partner(s)/Director(s) in breach).

7.10	The Director(s) shall compensate the Company and/or the Partners damages inflicted as a result of their actions
according to the present Charter, the Partners’ agreement (if any) and the Georgian legislation.
Clause 8.	Termination of the Activities of the Company
8.1 The Company terminates its activities:
8.1.1 Based on the decision of the Partners’ Meeting;
8.1.2 In other cases determined by law.
Clause 9.	Final Provisions
9.1	The present Charter enters into force upon its registration in the respective registry according to the applicable
legislation.
‘	9.2 If any of the provisions of the present charter become invalid and/or unenforceable and/or void, such invalidity,
unenforceability and/or voidance shall not affect its unity and validity of the Cahrter. Such provisions shall be
amended by other valid and enforceable provisions.
9.3	The Partners agree that in case of controversy between this Charter and Partners’ agreement, if any, provisions of
Partners’ agreement shall prevail.
